These Terms of Service ("Terms") govern your access to and use of services operated by Allay Studios LLC ("we", "our", or "us"). By using any of our services, platforms, or websites, you agree to be legally bound by these Terms.

1. Scope of Agreement

These Terms apply to all products, services, and platforms offered by Allay Studios LLC and its sub-brands. This includes, but is not limited to:

  • Hosting Services (e.g., game servers, panels, storage)
  • Web Development & SaaS tools
  • Infrastructure, automation, APIs and integrations
  • Client-facing web applications and portals

2. Account Registration & Responsibilities

Users must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

3. Payments, Billing & Credit

  • All payments must be made upfront unless otherwise agreed.
  • We accept payments via Stripe, PayPal, and optionally other providers.
  • No refunds are issued under any circumstances unless legally required.
  • Remaining service time from canceled servers is credited to your account (if applicable).
  • Account credits are non-transferable and cannot be exchanged for cash.
  • Chargebacks or fraudulent claims will result in immediate suspension and legal action.

4. Service Access & Termination

We reserve the right to suspend or terminate services for any account that violates these Terms or engages in abusive, illegal, or harmful behavior. We may remove or block access to data if legally required or at our discretion.

5. Resource Usage

Hosting services come with fair usage guidelines. We may suspend services that consume excessive resources or impact platform stability.

6. Prohibited Use

You may not use our services for:

  • Hosting or distributing malware, DDoS tools, or illegal content
  • Unauthorized access to other systems ("hacking")
  • Running crypto mining without prior permission
  • Any use that violates applicable law or third-party rights

7. Intellectual Property

All software, platforms, designs, and content provided by us remain our property or the property of our licensors. You may not copy, reverse engineer, or redistribute our intellectual property without written consent.

8. Modifications to Terms

We reserve the right to update or modify these Terms at any time. You will be notified of significant changes via email or platform notification. Continued use after changes constitutes acceptance.

9. Limitation of Liability

To the maximum extent permitted by law, Allay Studios LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States. Jurisdiction for any legal disputes lies with the competent courts of Natrona County, Wyoming.
